Features available to you depend on your subscription plan, connected marketplaces, marketplace permissions and technical availability.
4. Eligibility
You may use AW Co-Pilot only if:
- You are legally capable of entering into a binding agreement.
- You have authority to act on behalf of your business or organization, where applicable.
- You provide accurate account information.
- Your use of the Service complies with applicable law.
- You comply with applicable marketplace policies.
If you are using AW Co-Pilot on behalf of a company or business, you represent that you have authority to bind that organization to these Terms.
5. Creating an Account
Certain AW Co-Pilot features require an account.
You agree to provide accurate and current information when creating your account.
You must promptly update information that becomes inaccurate or outdated.
We may require verification of:
- Email address
- Phone number
- Business identity
- Marketplace account ownership
- Payment information
- Other information reasonably necessary for security or compliance
6. Account Security
You are responsible for maintaining the security of your AW Co-Pilot account.
You must:
- Keep your password confidential.
- Use appropriate password security.
- Enable MFA where available.
- Not share your account credentials with unauthorized persons.
- Notify us of suspected unauthorized access.
- Ensure that employees and contractors using your account are authorized.
You are responsible for activity performed through your account unless caused by our failure to maintain required security controls.
7. Marketplace Connections
AW Co-Pilot may allow you to connect third-party marketplaces and ecommerce platforms.
Supported integrations may include:
- Amazon
- Flipkart
- Shopify
- eBay
- Etsy
- Myntra
- WooCommerce
- Meesho
- Other supported channels
Availability of an integration depends on:
- API availability
- Marketplace authorization
- Marketplace policies
- Required permissions
- Technical limitations
- Approval requirements
We do not guarantee that a particular marketplace will remain available.
8. Marketplace Authorization
When connecting a marketplace, you authorize AW Co-Pilot to perform the operations permitted by the authorization granted to the application.
You must only connect accounts that:
- You own; or
- You are legally authorized to manage.
You must not use another person's marketplace account without authorization.
Where a marketplace provides OAuth or another approved authorization mechanism, AW Co-Pilot will use that mechanism where applicable.
9. Amazon Integration
If you connect Amazon through the Selling Partner API (“SP-API”), your use of the integration is also subject to applicable Amazon agreements, policies and requirements.

You agree not to use AW Co-Pilot to:
- Circumvent Amazon policies.
- Manipulate Amazon systems.
- Abuse API limits.
- Access data without authorization.
- Misuse Amazon customer information.
- Create fraudulent listings.
- Manipulate reviews or ratings.
- Otherwise violate applicable Amazon requirements.
Our Acceptable Use Policy provides additional requirements.
10. Third-Party Marketplace Responsibility
AW Co-Pilot is an independent software service.
Amazon, Flipkart, Shopify, eBay, Etsy, Myntra, WooCommerce, Meesho and other marketplaces are independent third parties unless expressly stated otherwise.
We do not guarantee that a marketplace will:
- Approve your seller account.
- Approve your products.
- Approve your listings.
- Approve your brand.
- Approve your advertising.
- Maintain API access.
- Maintain a particular API.
- Maintain a particular feature.
- Accept AI-generated content.
Marketplace decisions remain under the control of the relevant marketplace.
11. Subscription Plans
AW Co-Pilot may be offered through subscription plans.
Current plans may include:

Pro Business Plan

Features and limits differ between plans.
We may introduce additional plans or modify existing plans.
The applicable price and included features will be displayed on the AW Co-Pilot pricing page at the time of purchase.
12. Additional Charges
Certain AW Co-Pilot services may incur additional usage charges.
Examples may include:
- Product photoshoot
- Listing creation
- AI processing
- Other usage-based services
The applicable charges will be displayed before or during the relevant service where technically feasible.
For example, additional charges may vary by subscription plan.
Users are responsible for reviewing the applicable pricing before using chargeable functionality.
13. Billing
Subscriptions may be billed:
- Monthly
- Annually
- Or according to another billing period displayed during purchase
The applicable billing cycle will be shown at checkout.
You authorize our payment provider to process applicable subscription charges.
14. Taxes
Prices may be subject to:
- GST
- Applicable taxes
- Government levies
- Other applicable charges
Taxes will be handled according to applicable law and the applicable billing arrangement.
15. Subscription Renewal
Unless otherwise stated, subscriptions may automatically renew for the applicable billing period.
You may cancel your subscription before the next renewal date through the available account functionality or by contacting support.
16. Cancellation
You may cancel your AW Co-Pilot subscription according to the cancellation process provided through the Service.
Unless otherwise stated:
- Cancellation stops future renewal.
- Your existing subscription generally remains active until the end of the paid billing period.
- Cancellation does not automatically create a refund for unused time.
17. Refunds
AW Co-Pilot is a digital SaaS service.

Where a refund is approved:
- It will generally be processed through the original payment method.
- Processing time may depend on the payment provider.
- Usage-based charges may not be refundable once the relevant service has been delivered.

We may modify or terminate promotional offers where permitted by law.
19. User Content
You may upload or provide:

- Logos

- Other business information
You retain your rights in your content, subject to the rights necessary for us to provide the Service.
20. License to User Content
By uploading content to AW Co-Pilot, you grant Ample Wings a limited, non-exclusive, worldwide license to:
- Host
- Store
- Process
- Reproduce where technically necessary
- Modify/transform where necessary
- Transmit
- Display
- Generate outputs from
your content solely for providing and improving the requested Service, subject to applicable law and our Privacy Policy.
This license does not transfer ownership of your underlying content to Ample Wings.
21. User Responsibility for Content
You represent that you have the necessary rights to upload and process your content.
You must not upload content that:
- Infringes copyright.
- Infringes trademarks.
- Violates privacy rights.
- Contains unlawful material.
- Contains malware.
- You do not have permission to use.
You are responsible for your content.
22. AI-Generated Content
AW Co-Pilot may use AI to generate:
- Product titles
- Product descriptions
- Bullet points
- Keywords
- Categories
- Attributes
- Product images
- Marketing content
- Recommendations
- Other ecommerce content
AI output may contain inaccuracies.
You are responsible for reviewing AI-generated content before using or publishing it.
23. No Guarantee of AI Accuracy
We do not guarantee that AI-generated output will be:
- Accurate
- Complete
- Current
- Suitable for a particular marketplace
- Legally compliant
- Free from errors
You should independently verify important product information.
This is particularly important for:
- Product specifications
- Safety claims
- Medical claims
- Certifications
- Ingredients
- Measurements
- Pricing
- Regulatory claims
- Country-of-origin information
24. AI Images
AI-generated or AI-enhanced images are provided as a business tool.
You remain responsible for ensuring that images:
- Accurately represent your product.
- Do not infringe third-party rights.
- Comply with marketplace requirements.
- Do not contain misleading claims.
25. Marketplace Publishing
Where AW Co-Pilot provides automated listing or publishing functionality, you authorize the application to perform the relevant action within the permissions you granted.
You remain responsible for:
- Listing accuracy.
- Product compliance.
- Marketplace policy compliance.
- Pricing.
- Inventory.
- Product claims.
- Brand authorization.
AW Co-Pilot does not guarantee that marketplace systems will accept a submitted listing.
26. Automated Actions
Some features may automatically:
- Synchronize inventory.
- Update pricing.
- Update listings.
- Retrieve orders.
- Generate reports.
- Create content.
- Perform other authorized operations.
You are responsible for configuring automated functions appropriately.
We recommend reviewing automated settings before enabling them.
27. Pricing Management
AW Co-Pilot may allow you to manage or update product prices across supported channels.
You remain responsible for:
- Correct pricing.
- Minimum advertised pricing requirements where applicable.
- Tax treatment.
- Currency conversion.
- Promotions.
- Marketplace pricing policies.
We are not responsible for commercial losses resulting from incorrect pricing configured by the user, except to the extent caused by our breach of these Terms or applicable law.
28. Inventory Management
AW Co-Pilot may synchronize inventory information across connected channels.
Inventory synchronization may be affected by:
- Marketplace API delays.
- API failures.
- Network failures.
- Marketplace outages.
- Incorrect source data.
- Third-party limitations.
You remain responsible for monitoring inventory and preventing overselling.
29. Orders
AW Co-Pilot may retrieve and display orders from connected marketplaces.
Order information is dependent on the information provided by the relevant marketplace.
We do not guarantee real-time synchronization in every circumstance.
Users remain responsible for fulfilling orders according to marketplace requirements.
30. Reports
AW Co-Pilot may provide:

- Inventory reports
- Listing-status reports
- Other analytics
Reports are provided for informational and operational purposes.
You remain responsible for verifying important business decisions against authoritative marketplace records.
31. Sourcing Services
If AW Co-Pilot provides sourcing functionality, information may include:
- Product suggestions
- Supplier information
- Product pricing
- Product images
- Product specifications
- Estimated costs
Sourcing information is not a guarantee of:
- Supplier reliability.
- Product quality.
- Product authenticity.
- Availability.
- Final landed cost.
- Import eligibility.
- Regulatory compliance.
Users should perform appropriate due diligence.
32. Intellectual Property — AW Co-Pilot
The AW Co-Pilot platform and its components are owned by or licensed to Ample Wings.
This may include:
- Software
- Source code
- Object code
- User interface
- Design
- Branding
- Logos
- Documentation
- Platform architecture
- Workflows
- Proprietary algorithms
- AI workflows
- Database structures
- Platform-specific content
- Trademarks
- Other proprietary materials
Except for the limited rights expressly granted under these Terms, no ownership rights are transferred to you.
33. Limited License
Subject to these Terms and your payment of applicable fees, Ample Wings grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use AW Co-Pilot for your legitimate business operations during your active subscription.
You may not:
- Resell the Service.
- Copy the Service.
- Modify the Service.
- Reverse engineer the Service.
- Decompile the Service.
- Create a competing product using proprietary elements.
- Extract source code.
- Circumvent technical controls.
34. Restrictions
You must not:
- Reverse engineer AW Co-Pilot.
- Attempt to obtain source code.
- Copy the user interface substantially for a competing product.
- Circumvent subscription limits.
- Share unauthorized credentials.
- Abuse marketplace APIs.
- Introduce malware.
- Attack the infrastructure.
- Scrape restricted data.
- Use the Service for illegal activities.
- Sell access without authorization.
- Allow unauthorized third parties to use your account.
- Attempt unauthorized access to another user's data.

35. Feedback
If you provide suggestions, ideas or feedback about AW Co-Pilot, you grant Ample Wings permission to use that feedback without obligation to compensate you, provided that such use does not disclose your confidential information or violate applicable law.
36. Third-Party Services
AW Co-Pilot may rely on third-party services, including:
- Marketplace APIs
- Cloud providers
- AI providers
- Payment providers
- Email providers
- Analytics providers
- Security providers
Third-party services may have separate terms and policies.
We are not responsible for third-party services that we do not control.
37. Marketplace Outages
A marketplace or API may become unavailable.
This may prevent AW Co-Pilot from:

- Retrieving orders.
- Generating current reports.
Such interruptions may occur without notice.
38. Service Availability
We aim to provide reliable access to AW Co-Pilot but do not guarantee uninterrupted or error-free operation.

- Marketplace outages.
- API failures.
- Security incidents.
- Network failures.
- Third-party failures.
- Force majeure events.
39. Scheduled Maintenance
We may temporarily suspend portions of the Service for:

- Other marketplaces
- Other third-party services
You may need to separately manage deletion through those platforms.
44. Security

We implement technical and organizational measures designed to protect information.
However, no Internet-based system can be guaranteed to be completely secure.
45. Acceptable Use
Your use of AW Co-Pilot must comply with our:

You must not use the Service for:
- Fraud

- Counterfeiting
- Marketplace manipulation
- Fake reviews
- Credential theft
- API abuse
- Malware
- Unauthorized data access
- Other prohibited activities
46. Suspension
We may temporarily suspend access where reasonably necessary to:

- Prevent API abuse.
- Protect other customers.
- Address serious policy violations.
- Comply with legal or marketplace requirements.
Where appropriate, we may provide notice and an opportunity to resolve the issue.
47. Immediate Suspension
We may immediately suspend an account where necessary to address:

- Fraud.
- Credential compromise.
- Malware.
- Unauthorized marketplace access.
- Serious API abuse.
- Illegal activity.
- Material risk to Ample Wings, AW Co-Pilot, a marketplace or another customer.
48. Termination by Customer
You may terminate your AW Co-Pilot account according to the account cancellation process.
Termination may result in loss of access to:
- Products.
- Listings.
- Reports.
- Inventory history.
- AI-generated content.
- Connected marketplace information.
You should export information you need before termination.
49. Termination by Ample Wings
We may terminate or suspend your account where you:
- Materially breach these Terms.
- Repeatedly violate our policies.
- Fail to pay applicable fees.
- Engage in fraud.
- Abuse marketplace APIs.
- Use unauthorized credentials.
- Create a security risk.
- Engage in illegal activities.
- Violate applicable marketplace requirements.
50. Effect of Termination
After termination:
- Access to AW Co-Pilot may be disabled.
- Marketplace integrations may be disconnected.
- API authorization may be revoked.
- Outstanding fees remain payable.
- Applicable data will be handled according to our Data Deletion Policy.
- Provisions intended to survive termination will continue.
51. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Ample Wings, its owners, employees, contractors and service providers from claims, losses, liabilities and expenses arising from:
- Your unlawful use of the Service.
- Your violation of these Terms.
- Your violation of marketplace policies.
- Your infringement of third-party rights.
- Your uploaded content.
- Your misuse of marketplace information.
- Your unauthorized actions through connected accounts.
This provision does not apply to the extent a claim results from Ample Wings' own fraud, willful misconduct or other liability that cannot legally be excluded.
52. Disclaimer of Warranties
To the maximum extent permitted by applicable law, AW Co-Pilot is provided on an “as available” basis.
We do not guarantee that the Service will be:
- Completely uninterrupted.
- Error-free.
- Completely secure.
- Always available.
- Compatible with every marketplace.
- Free from third-party API failures.
We do not guarantee:
- Marketplace approval.
- Sales increases.
- Ranking improvements.
- Profitability.
- Listing approval.
- Product approval.
- Inventory accuracy where source systems are incorrect.
- Accuracy of AI-generated content.
53. AI Disclaimer
AI-generated output is probabilistic and may contain errors.
AW Co-Pilot should not be considered a substitute for:
- Legal advice.
- Tax advice.
- Regulatory advice.
- Product-safety advice.
- Professional financial advice.
- Marketplace compliance review.
You are responsible for reviewing important outputs before taking consequential action.
54. Limitation of Liability
To the maximum extent permitted by applicable law, Ample Wings will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the Service.
This may include losses relating to:
- Lost profits.
- Lost sales.
- Lost business opportunities.
- Marketplace ranking.
- Marketplace suspension.
- Inventory discrepancies.
- Pricing errors.
- Third-party API failures.
- Business interruption.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
For paid subscriptions, and subject to applicable law, our aggregate liability arising from the Service may be limited to the fees actually paid by you to Ample Wings for the relevant Service during the preceding 12 months.
A lawyer should review this clause before publication because enforceability of liability limitations varies by jurisdiction and circumstances.
55. Force Majeure
We are not responsible for failure or delay caused by events beyond our reasonable control, including:
- Natural disasters.
- War.
- Government actions.
- Internet failures.
- Cloud-provider failures.
- Marketplace outages.
- API outages.
- Cybersecurity incidents affecting third parties.
- Power failures.
- Telecommunications failures.
- Other force majeure events.
56. Changes to the Service

- Change integrations.

- Modify subscription plans.
- Change technical architecture.

You may not transfer your AW Co-Pilot account or rights under these Terms without our prior written consent, except where permitted by law.
Ample Wings may assign these Terms in connection with:

- Acquisition.
- Business restructuring.
- Sale of assets.
- Transfer of the AW Co-Pilot business.
60. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.
61. Waiver
Failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce that provision later.
62. Entire Agreement
These Terms, together with:
- Privacy Policy
- Security Policy
- Data Deletion Policy
- Acceptable Use Policy
- Refund & Cancellation Policy
- Cookie Policy
- Applicable order/subscription terms
constitute the agreement governing your use of AW Co-Pilot, except where a separate written agreement applies.
63. Governing Law
These Terms shall be governed by the applicable laws of India, subject to mandatory rights and protections applicable to users under their jurisdiction.
Subject to applicable law, disputes relating to these Terms shall be subject to the jurisdiction of competent courts in Delhi, India.
64. No Waiver of Mandatory Rights
Nothing in these Terms is intended to:
- Remove statutory consumer rights.
- Exclude rights that cannot legally be excluded.
- Limit liability that cannot legally be limited.
- Override mandatory data-protection requirements.
65. Relationship With Amazon
AW Co-Pilot is operated independently by Ample Wings Overseas.
Unless expressly authorized, nothing on our website or within AW Co-Pilot should be interpreted as representing that Amazon:
- Owns AW Co-Pilot.
- Operates AW Co-Pilot.
- Sponsors AW Co-Pilot.
- Endorses AW Co-Pilot.
- Guarantees AW Co-Pilot.
Amazon and its related trademarks belong to Amazon and its respective affiliates.
Amazon SP-API access is subject to applicable Amazon requirements. Amazon's public developer documentation identifies the applicable SP-API agreements and policies that developers must follow. (developer-docs.amazon)

By creating an AW Co-Pilot account, subscribing to a plan, connecting a marketplace, or using the Service, you acknowledge that:
